# Terms of Use

### Definitions

“Predium” refers to the operator of the prediction platform accessible at predium.finance (“Platform”, “we”, “us”).

“User” or “you” means any person accessing or using the Platform.

“Terms” means these Terms of Use, as updated from time to time.

“Prediction Event” means a time-limited contest in which users stake funds on the outcome of a market price movement. Participation in a Prediction Event does not constitute the purchase of a financial instrument, derivative, or investment product of any kind.

“Privacy Policy” means the Predium Privacy Policy available at predium.finance/privacy, which governs the collection and use of personal data and is incorporated into these Terms by reference.

### Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to these Terms of Use and the Privacy Policy available at predium.finance/privacy.

If you do not agree, do not use the Platform.

### Eligibility

By using the Platform, you confirm that:

* You are at least 18 years old (or the legal age in your jurisdiction)
* You are capable of making independent decisions
* You are not prohibited by local law from accessing similar platforms
* You use the Platform at your own discretion and risk
* You are not a resident or citizen of the United States of America, United Kingdom, Canada, any member state of the European Union (where binary-option and equivalent prediction-market products are prohibited under ESMA regulations), or any other jurisdiction where prediction market platforms are prohibited by law or require licensing<br>

*The Platform is not available in restricted jurisdictions. By using the Platform, you confirm you do not reside in any such territory. It is your responsibility to ensure compliance with local laws.*

### Platform Access

The Platform provides access to prediction-based events, not financial trading. Users participate by predicting outcomes of market events within a defined time window. Users do not purchase assets or financial instruments, and all outcomes are based on predefined conditions. Participation does not represent ownership of any underlying asset.

You are granted a limited, revocable, non-exclusive permission to access and use the Platform for personal use, subject to these Terms.

You agree not to:

* Violate applicable laws
* Interfere with Platform operation
* Attempt unauthorized access
* Abuse, manipulate, or exploit the Platform
* Circumvent technical limitations or safeguards

### Intellectual Property

All software, interfaces, designs, documentation, and branding associated with the Platform are protected by intellectual property laws.

You may not reproduce, modify, distribute, or commercially exploit any part of the Platform without prior written permission.

### Wallets & User Responsibility

You are solely responsible for:

* Wallet security and private keys
* All actions performed using your wallet or account
* Verifying transaction details before execution
* Compliance with tax and legal obligations in your jurisdiction

Regarding user funds:

*The Platform processes user deposits operationally to facilitate predictions and withdrawals. It does not act as a regulated custodian or financial institution and does not hold funds on behalf of users in a custodial capacity. The Platform does not guarantee the return of funds in all circumstances. Users are responsible for initiating withdrawals of available balances.*<br>

The Platform does not collect, store, or have access to private keys or seed phrases.

### Fees

* Deposit fee: none (blockchain gas fees may apply)
* Withdrawal fee: disclosed before confirmation
* All applicable fees are displayed prior to execution

7.1 Minimum Activity Requirement

To maintain Platform integrity and protect all users, Predium applies a minimum activity requirement before withdrawals can be processed. You must participate in Prediction Events totalling at least 20% of your deposited amount before initiating a withdrawal.

*Example: if you deposit $100, you must place predictions totalling at least $20 before withdrawing.*

Why this requirement exists:

* Anti-Money Laundering (AML). Prediction platforms that accept cryptocurrency deposits are a known vector for money laundering — depositing funds, doing nothing, and withdrawing to a different wallet. The turnover requirement ensures that every user genuinely engages with the Platform before withdrawing.
* Cross-chain integrity. Predium supports multiple blockchain networks (ETH and BNB). Without an activity requirement, the Platform could be exploited as a cross-chain bridge — depositing on one network and withdrawing on another to obscure the origin of funds. This is not the intended use of Predium.
* Platform sustainability. Processing deposits and withdrawals involves real infrastructure costs and blockchain gas fees. The activity requirement ensures the Platform is used as intended — for Prediction Events — and not as a fee-free transfer mechanism.
* User protection. The requirement encourages users to engage with the Platform before committing larger amounts, reducing impulsive deposits followed by immediate withdrawals.

*We have intentionally set this threshold at 20% — significantly lower than industry standard (typically 1x–3x of deposit) — to ensure the most frictionless experience for genuine users. Our goal is to verify real engagement, not to restrict access to your funds. This requirement applies to each deposit independently.*

### Risk Acknowledgment

You acknowledge that:

* Prediction markets are speculative and high-risk
* You may lose all funds used in predictions
* Technical failures, oracle issues, or network congestion may occur
* The Platform provides no guarantees or assurances of profit

You assume full responsibility for all risks.

### Nature of the Platform

Predium provides access to Prediction Events. It is not a broker, financial institution, investment advisor, or regulated trading venue. Users participate in prediction outcomes and do not acquire any financial instrument, security, or derivative.

* The Platform reserves the right to modify Prediction Event conditions, payout rates, and rules at any time. Continued use after any such modification constitutes acceptance.
* The Platform reserves the right to cancel, void, or reverse any Prediction Event or transaction in case of technical errors, system malfunction, oracle failure, abuse, or any other circumstance that compromises the integrity of the outcome.
* Settlement prices are determined by the Platform’s internal pricing mechanisms and oracle data. These may differ from prices on external exchanges. The Platform makes no representation that settlement prices will match any external market price.

### No Warranties

The Platform is provided “as-is” and “as-available” without warranties of any kind, express or implied.

### Limitation of Liability

To the maximum extent permitted by law, Predium and its operators are not liable for:

* Financial losses from predictions or prediction activity
* Lost opportunities or profits
* Network or third-party failures
* Technical errors or outages
* Regulatory or access changes
* Force majeure events

*In any case where liability cannot be fully excluded, Predium’s total liability shall not exceed the total amount deposited by you in the 30 days preceding the relevant claim.*

### Prohibited Activities

You must not engage in:

* Market manipulation or abusive behavior
* Exploitation of oracle delays or system weaknesses
* Fraud, deception, or misrepresentation
* Unauthorized automation or scraping
* Use of stolen or illicit funds

### Enforcement

In case of suspected violations, the Platform may:

* Restrict or suspend access
* Freeze functionality pending review
* Apply technical safeguards to prevent abuse

Actions are taken to protect Platform integrity and users.

### Regulatory Considerations

* Laws regarding prediction markets, crypto assets, and online platforms vary by jurisdiction
* You are solely responsible for determining whether your use of the Platform is lawful in your location
* The Platform does not provide regulatory, legal, or compliance advice

### Affiliate Program

Participation in the affiliate program is governed by the Predium Affiliate Program Terms available at predium.finance/affiliate-terms, which are incorporated into these Terms by reference. Participation may be modified or terminated in case of abuse, fraud, or policy violations.

### Referral Program

Users may participate in the Predium Referral Program by sharing their unique referral link. A user who successfully refers a new depositing trader earns 1% of that trader's trading volume for the duration of the referral relationship.

Referral commissions are credited directly to the referring user's available balance and are available for withdrawal without additional trading requirements.

The Platform reserves the right to modify, suspend, or discontinue the Referral Program at any time. Self-referral is prohibited. Commission payments are subject to verification and may be withheld or reversed in cases of fraud or abuse.

### Governing Law

These Terms are governed by general principles of international commercial law. Disputes shall first be resolved through good-faith negotiation. Unresolved disputes may be submitted to binding arbitration conducted in English.

### Changes to Terms

These Terms may be updated periodically. Continued use of the Platform after publication of changes constitutes acceptance of the updated Terms. Material changes will be communicated via the Platform.
